These comprehensive terms and conditions ("Terms") dictate the permissible use of the ImpexShips platform, encompassing our website (www.impexships.com), mobile applications, vendor portals, API integrations, and associated digital services operated by IMPEXSHIPS PRIVATE LIMITED.
By registering an account, executing a transaction, or otherwise accessing the ImpexShips ecosystem, you (the "User", "Buyer", "Seller", or "Transporter") enter into a legally binding contract with IMPEXSHIPS PRIVATE LIMITED, and agree to adhere strictly to the stipulations set forth below.
1.1 Marketplace Intermediary: ImpexShips serves exclusively as an electronic marketplace and technology aggregator. We provide the digital infrastructure for buyers to discover products, negotiate with sellers, and contract with logistics providers.
1.2 Non-Ownership of Goods: At no point does ImpexShips take title to, or possession of, the goods traded on the platform. We are not a party to the underlying commercial contract between the buyer and the seller. Consequently, any warranties, guarantees, or representations regarding product quality, safety, or legality are solely the responsibility of the respective seller.
2.1 Authorized Representation: By creating an account on behalf of a corporate entity, you warrant that you possess the requisite legal authority to bind that entity to these Terms.
2.2 Mandatory Verification: Access to transactional features is contingent upon successful Know Your Customer (KYC) and Know Your Business (KYB) verification. ImpexShips reserves the right to request certificates of incorporation, tax identification documents (e.g., GST/VAT certificates), import/export licenses, and director identification. We may suspend accounts that fail to provide updated compliance documentation upon request.
3.1 Payment Processing: All financial settlements are processed via authorized third-party gateways (such as Razorpay). By engaging in a transaction, you agree to the specific terms of service of these financial partners.
3.2 Escrow Mechanisms: For designated high-value trades, ImpexShips may utilize escrow hold mechanisms. Funds will be released to the seller only upon the buyer's confirmation of receipt, or the expiration of the dispute window, whichever occurs first. ImpexShips assumes no liability for losses resulting from unauthorized transactions or banking gateway failures.

To the maximum extent permitted by applicable law, IMPEXSHIPS PRIVATE LIMITED and its affiliates, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the platform; (b) any conduct or content of any third party on the platform.
These terms and conditions are governed by and construed in accordance with the laws of India. Any disputes arising in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
